The Board of Directors of ASBISc Enterprises PLC (“ASBIS”) hereby informs, that ASBIS signed a Letter of Intent (“LOI”) with MATRIX MEDIA with its registered office in Suchy Las (Poland) - the owner of the Samsung Brand Store chain in Poland.

Based on the signed a Letter Of Intent (LOI) with Matrix Media, under which procedures have started for the acquisition of the Samsung Brand Store retail chain in Poland by ASBIS, including completing a due diligence process.

The Samsung Brand Store chain consists of 12 stationary shops located in Poland. The list may be expanded to one more new Matrix Media store.

The Parties declared that in order to achieve the purpose indicated above ASBIS will be entitled to conduct a due diligence process in the legal, tax, financial and organizational-technical areas.

The parties are aware that the sale of assets and the acquisition of rights described above may require concentration approval or notification of the intention to concentrate to the Office of Competition and Consumer Protection (Polish: UOKiK, Urząd Ochrony Konkurencji i Konsumentów), which may affect the assumed timeframe of the transaction.

The parties will aim to complete the transaction at the end of Q2 2025, but if it is not possible to complete the transaction by that date, the next preferred date will be the end of Q3 2025 or, as a last resort, Q4 2025.

The acquisition will be financed from its own ASBIS funds.

MATRIX MEDIA specializes in the retail sale of consumer electronics and household appliances, offering products of renowned brands in the showrooms and online. The company has been operating on the market since 1999, constantly developing its sales network and the range of products offered.

The planned acquisition of the Samsung Brand Store chain is an element of the ASBIS Group's strategy, i.e. development of a network of premium stores.
