The Board of Directors of ASBISc Enterprises Plc (“the Company”, „the Issuer“) hereby informs that on November 8th, 2017 the Company has received from Noble Funds Towarzystwo Funduszy Inwestycyjnych S.A. notification that following to sale of the Company’s shares on November 6th, 2017 total share of Noble Funds Fundusz Inwestycyjny Otwarty, Noble Funds Specjalistyczny Fundusz Inwestycyjny Otwarty, Noble Fund Opportunity Fundusz Inwestycyjny Zamknięty and Open Finance Fundusz Inwestycyjny Otwarty managed by Noble Funds Towarzystwo Funduszy Inwestycyjnych S.A. descended below the threshold of 5% of total number of votes at the Company’s General Meeting of Shareholders.

According to the notification, before the abovementioned sale of shares the Funds had 2 929 818 Company’s shares that were equal to 5,28% in the Company’s share capital and had 2 929 818 votes from these shares, that were equal to 5,28% of total number of votes.

According to the notification, after the abovementioned sale of shares the Funds hold 2 689 818 Company’s shares, equal to 4,85% in the Company’s share capital and have 2 689 818 votes from these shares, equal to 4,85% of total number of votes.

According to the notification with respect to the Fund there are no subsidiaries, holding shares of the Company and persons referred to in Article 87 paragraph 1 point 3 letter c of the Act on Public Offering.

According to the notification the Fund does not have the votes to the shares calculated in the manner specified in Article 69b paragraph 2 and 3 of the Act on Public Offering.

Rada Dyrektorów ASBISc Enterprises Plc ("Spółka", "Emitent"), niniejszym informuje, iż w dniu 8 listopada 2017 roku Spółka otrzymała od Noble Funds Towarzystwa Funduszy Inwestycyjnych S.A. zawiadomienie, iż w wyniku sprzedaży w dniu 6 listopada 2017  r. akcji Spółki łączny udział funduszy Noble Funds Fundusz Inwestycyjny Otwarty, Noble Funds Specjalistyczny Fundusz Inwestycyjny Otwarty, Noble Fund Opportunity Fundusz Inwestycyjny Zamknięty oraz Open Finance Fundusz Inwestycyjny Otwarty zarządzanych przez Noble Funds Towarzystwo Funduszy Inwestycyjnych S.A. spadł poniżej progu 5% w ogólnej liczbie głosów na WZA Spółki.

Zgodnie z zawiadomieniem przed wskazaną powyżej sprzedażą akcji Fundusze posiadały 2 929 818 akcji Spółki, co stanowiło 5,28% kapitału zakładowego Spółki i posiadały 2 929 818 głosów z tych akcji, co stanowiło 5,28% w ogólnej liczbie głosów.

Zgodnie z zawiadomieniem po wskazanej powyżej sprzedaży akcji Fundusze posiadają 2 689 818 akcji Spółki, co stanowi 4,85% kapitału zakładowego Spółki i posiadają 2 689 818 głosów z tych akcji, co stanowi 4,85% w ogólnej liczbie głosów.

Zgodnie z zawiadomieniem w odniesieniu do funduszu nie występują podmioty zależne, posiadające akcje Spółki oraz osoby, o których mowa w art. 87 ust. 1 pkt 3 lit. c Ustawy o Ofercie publicznej.

Zgodnie z zawiadomieniem Fundusz nie posiada głosów z akcji obliczonych w sposób określony w art. 69b ust. 2 i 3 Ustawy o ofercie publicznej.
